1. Introduction
 

These Terms and Conditions ("Terms") govern your use of our website and services provided by NKD Facilities Management Consultants ("we", "us", or "our"). By accessing or using our website or engaging our services, you agree to be bound by these Terms.
 

2. Services
 

NKD Facilities Management Consultants provides consultancy and support in facilities management, including but not limited to:

• Strategic Facilities Planning

• Operational Consulting (Facilities Audits)

• Energy Auditing

• Asset Management and Maintenance Planning

• Vendor and contract management guidance

• Risk Register and ERP Building

• Business Continuity Plans, Training and Exercises
   

All services are delivered based on agreed scopes of work and timelines set out in individual service agreements or proposals.
 

3. Client Responsibilities
 

You agree to:

• Provide accurate and complete information required for service delivery

• Cooperate reasonably with our team during the engagement

• Ensure access to necessary sites, staff, and documentation when required
   

Failure to meet these responsibilities may affect our ability to deliver services effectively and may result in additional fees.
 

4. Fees and Payment
 

Fees for services will be outlined in a written proposal or agreement. Unless otherwise stated:

• Invoices are payable within 30 days of the invoice date

• Late payments may incur interest at 1.5% per month

• We reserve the right to suspend services in the event of non-payment
   

5. Confidentiality
 

Both parties agree to maintain confidentiality of any proprietary or sensitive information exchanged during the engagement. This obligation shall survive the termination of the service agreement.
 

6. Intellectual Property
 

Any documents, reports, templates, or tools provided as part of our consultancy services remain the intellectual property of NKD Facilities Management Consultants unless otherwise agreed in writing.
 

7. Liability
 

To the maximum extent permitted by law:

• We shall not be liable for any indirect, incidental, or consequential damages

• Our total liability under any engagement shall not exceed the total amount paid by you for the services
   

Nothing in these Terms excludes liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.
 

8. Termination
 

Either party may terminate a service engagement with 30 days’ written notice. Fees for work completed up to the date of termination shall remain payable.
 

9. Third-Party Services
 

We may refer or coordinate with third-party service providers at your request. We are not responsible for the performance or conduct of such third parties unless specifically contracted to manage them.
 

10. Governing Law
 

These Terms are governed by the laws of Thailand. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Thailand.
 

11. Changes to These Terms
 

We reserve the right to update these Terms at any time. Any changes will be posted on our website with a revised effective date. Continued use of our services constitutes acceptance of the updated Terms.
